These Wholesale/Trade Terms (“Terms”) govern transactions between GradeZOO (“we,” “us,” or “our”) and authorized wholesale buyers, distributors, or resellers (“Buyer”) purchasing products in bulk through gradezoo.com

ggBy placing a wholesale order, the Buyer agrees to these Terms.1. Eligibility

Account Approval:
- - Buyers must provide a valid business license, resale certificate, or tax ID to qualify for wholesale pricing.
- Individuals or unauthorized resellers are ineligible.
Geographic Restrictions:
- Sales may be restricted in regions with existing distributor agreements.

2. Ordering Process

Minimum Order Quantities (MOQs):
- Industrial Products: $5,000 per order (e.g., machinery, heavy equipment).
- General Merchandise: $2,000 per order (e.g., apparel, accessories).
- Custom MOQs available for large contracts (contact sales@gradezoo.com).
Custom Orders:
- Submit specifications via our wholesale portal. A 50% deposit is required for production.

3. Pricing & Payment Terms

Wholesale Pricing:
- Tiered discounts based on order volume:

  $50,001+ Custom Quote
- Prices are in USD and exclude taxes, duties, and shipping.
Payment Terms:
- Net 30: Payment due within 30 days of invoice (approved accounts only).
- Early Payment Discount: 2% off for payment within 10 days.
- Late Fees: 1.5% monthly interest on overdue balances.
Accepted Methods:
- Wire transfer, ACH, or approved credit terms.

4. Shipping & Delivery

FOB Terms:
- Products ship FOB Origin (GradeZOO’s warehouse). Risk transfers to Buyer upon pickup.
Shipping Costs:
- Buyer covers freight charges. Free shipping for orders over $25,000.
Lead Times:
- Standard orders: 2–4 weeks.
- Custom industrial orders: 8–12 weeks.

5. Returns & Exchanges

Defective Products:
- Notify us within 7 days of delivery for replacement.
Non-Defective Returns:
- Returns allowed within 30 days with a 15% restocking fee.
- Custom or industrial products are final sale.
Process:
- Submit a Return Merchandise Authorization (RMA) request via the wholesale portal.

6. Compliance & Safety

Regulatory Standards:
- Industrial machinery must comply with OSHA, CE, or FCC regulations.
- Buyers are responsible for obtaining permits, certifications, or safety approvals in their jurisdiction.
Product Liability:
- Buyer assumes liability for misuse, improper installation, or unauthorized modifications.

7. Marketing & Branding

Brand Guidelines:
- Use GradeZOO trademarks, logos, or marketing materials only with written approval.
- Unauthorized online sales (e.g., Amazon, eBay) may result in account termination.
MAP Policy:
- Adhere to Minimum Advertised Pricing (MAP) guidelines provided separately.

8. Confidentiality

Non-Disclosure:
- Pricing, terms, and product designs are confidential. Disclosure to competitors voids agreements.
Non-Circumvention:
- Buyers may not contact GradeZOO suppliers or manufacturers directly.

9. Termination

By GradeZOO:
- Terminate accounts for breach of contract, fraud, or failure to meet MOQs.
By Buyer:
- Cancel pending orders with written notice (deposits for custom orders are non-refundable).

10. Governing Law

Disputes are governed by California law and resolved per our Terms of Service.
